Terms and Conditions of Use – Sora Vital

This document sets forth the terms and conditions under which users (hereinafter referred to as “THE CLIENT”) access and use the services offered by SORA VITAL, an intermediary platform that connects individuals seeking health or home care services with independent professionals.
By requesting, confirming, or using any service managed by SORA VITAL, THE CLIENT acknowledges that they have read, understood, and expressly accepted these Terms and Conditions.
1. ABOUT SORA VITAL
SORA VITAL is a management and intermediary service operated by private individuals that connects users with independent professionals (such as nurses, caregivers, and assistants) for home-based care, support, or assistance services.
SORA VITAL does not directly provide medical or healthcare services, nor does it act as a clinic, hospital, or healthcare provider. Its role is limited to coordination, management, and communication between the parties.
2. NATURE OF THE SERVICE
SORA VITAL’s services include:

Channeling requests for home health or care services.

Contacting, coordinating, and assigning independent professionals.

Managing logistics, payments, follow-ups, and client support.
SORA VITAL does not guarantee diagnoses, treatments, recovery, or clinical outcomes. Responsibility for the performance of services lies exclusively with the assigned professional.
3. SELECTION OF PROFESSIONALS
All professionals in SORA VITAL’s network are interviewed and registered based on their experience, references, and supporting documentation.
THE CLIENT acknowledges that:

The professional acts as an independent contractor, with no employment relationship with SORA VITAL.

SORA VITAL is not responsible for any acts, errors, omissions, or negligence by the professional, except in cases of proven negligence during the vetting process.
4. SERVICE ACCEPTANCE
By confirming a service, THE CLIENT:

Voluntarily accepts the type of service, duration, schedule, and conditions.

Acknowledges having received information about the assigned professional.
-
Agrees to provide accurate information regarding the patient’s health condition, ongoing treatments, allergies, or special needs.

Must sign the Service Agreement and Informed Consent, either physically or digitally, before the first service begins.
5. PAYMENTS AND CANCELLATIONS

The cost of the service will be communicated and accepted by THE CLIENT prior to execution.

Payment must be made before or immediately after the service, as applicable.

Cancellations made at least 12 hours in advance will not incur any charge.

Late cancellations or no-shows may incur a fee of 20% to 100% of the total service cost.

Refunds will be evaluated on a case-by-case basis and may include administrative deductions.
6. IN CASE OF PATIENT DEATH
If the patient passes away during the service, the contractual relationship will automatically terminate.
SORA VITAL will not be held liable for the death if it results from natural causes, pre-existing conditions, or circumstances beyond the service provided.
Any advance payments will be treated according to proportionality policies.
7. LIMITATION OF LIABILITY
SORA VITAL shall not be liable, under any circumstances, for:

Acts or omissions by the assigned professional.

Personal, emotional, or material damages arising from the service.
-
Loss of personal belongings or valuables at the service location.
-
Medical complications unrelated to the service provided.
-
Dissatisfaction with the patient’s clinical progress or outcomes.
THE CLIENT expressly releases SORA VITAL from any civil, criminal, medical, or administrative liability, except in cases of proven bad faith or gross negligence in the intermediary process.
8. PROPER USE OF THE SERVICE
The service must only be used for legitimate health care or assistance purposes.
SORA VITAL reserves the right to deny, cancel, or suspend services if it detects:

Disrespect, aggression, or harassment toward professionals.

Attempts to contact or hire professionals outside authorized channels.

Illegal activities or conduct inconsistent with the nature of the service.
9. PERSONAL DATA AND CONFIDENTIALITY
THE CLIENT authorizes SORA VITAL to collect and process personal, medical, and contact data for the following purposes:

Service assignment and management.

Operational communication and follow-up.
-
Billing and legal compliance.
-
Continuous improvement of the client experience.
All data processing is conducted in accordance with the Federal Law on Protection of Personal Data Held by Private Parties and the Privacy Notice available on this website.
10. ACCURACY OF INFORMATION
THE CLIENT declares that all information provided is truthful, complete, and up to date, including:

Health status and diagnosis.

Current treatments.
-
Allergies or special conditions.
-
Contact details and legal representatives.
SORA VITAL shall not be responsible for risks or complications resulting from false or omitted information provided by THE CLIENT.
11. NON-HOSPITAL SERVICE
THE CLIENT acknowledges that the service is home-based and does not replace hospital or emergency medical care.
The service environment (home, residence, etc.) does not include clinical infrastructure.
In case of a medical emergency, it is the client’s responsibility to seek appropriate medical services.
12. INCIDENTS AND REPORTS
Any incident, complaint, or accident must be reported within 24 hours.
SORA VITAL reserves the right to:

Investigate and document the situation.

Request clarification from both the client and the professional.

Determine corrective or compensatory actions as appropriate.
13. DIRECT CONTACT PROHIBITION
THE CLIENT agrees not to engage or hire professionals directly without notifying SORA VITAL.
External agreements that bypass SORA VITAL’s supervision, security, or follow-up mechanisms are strictly prohibited.
In case of non-compliance, SORA VITAL may cancel the service and take legal action if applicable.
14. MODIFICATIONS
SORA VITAL reserves the right to modify these Terms and Conditions at any time.
The updated version will be published on this website and deemed accepted upon continued use of the service.
15. JURISDICTION
For interpretation or enforcement of this document, both parties expressly submit to the laws of Mexico and the competent courts of Aguascalientes, Aguascalientes, expressly waiving any other jurisdiction.
16. FINAL ACCEPTANCE
The use of SORA VITAL’s services implies full acceptance of these Terms and Conditions.
Clients are advised to read them carefully before confirming any service.
This document constitutes a legal agreement between the user and SORA VITAL.
Acceptance is required to access our services.
By using this website or platform, THE CLIENT acknowledges that any digital acceptance, signature, or consent provided electronically (checkbox, forms, WhatsApp, etc.) shall have full legal validity, in accordance with Articles 1803, 1834, and 1834 Bis of the Federal Civil Code.
